A client asks you for a W-9 Form, and a few short fields leave you wondering whose name belongs on it: yours or your business’s. Then you reach the tax classification box and the request for a Social Security number or employer identification number. It’s a routine request, but those choices depend on how the IRS treats you or your business for federal tax purposes.
For an LLC, the name registered with the state doesn’t settle every entry. Your federal tax treatment determines which name and classification to use. The instructions below explain how to choose the right entries and return the completed document safely.
The legal name on your W-9 Form identifies the taxpayer for IRS reporting of payments or other amounts. Use that taxpayer’s federal tax classification and Social Security number or employer identification number. Read the applicable certification instructions for your payment; some transactions require a signature, while others require only the correct taxpayer ID. The completed form goes to the requester, not the IRS.

Form W-9, officially called Request for Taxpayer Identification Number and Certification, gives a requester the tax information needed to prepare an information return, such as a Form 1099. Under Orientación del IRS, the requester uses it to identify who received a payment or another reportable amount. If you’re an independent contractor, a client may ask for it so they have your details for reporting what they pay you.
The request isn’t limited to contract work. A bank may need the same information to report interest from a financial account. You provide your details and the applicable certifications; the requester handles any required information return. Send the completed document back to that requester. You don’t routinely file it with the IRS.
If you’re a U.S. taxpayer, you may need to complete the form for a payer or financial institution. Under the Instrucciones del IRS, a W-9 Form commonly comes up for:
A small payment doesn’t rule out a request. The payer may collect your details before knowing whether total payments will require a Form 1099. The reporting threshold isn’t a minimum amount for requesting this document.
Foreign individuals may instead need Form W-8BEN, depending on their tax status and circumstances. That alternative doesn’t apply to every foreign entity or payment situation.
Start with the taxpayer named on Line 1. Your W-9 Form classification and identification number must match that taxpayer. Use the instrucciones oficiales for these eight fields:
Your LLC’s federal tax treatment controls these entries. If the IRS treats the business as part of its owner, the owner’s name belongs on Line 1. Line 2 holds the LLC’s name. The IRS classification instructions base Line 3a on that taxpayer. Your W-9 Form may identify the owner or the LLC, depending on its tax treatment.
| Tax treatment | Name on Line 1 | Line 3a selection |
|---|---|---|
| Tax treatmentDisregarded single-member LLC owned by an individual | Name on Line 1Owner's name | Line 3a selectionIndividual/sole proprietor |
| Tax treatmentLLC taxed as partnership | Name on Line 1LLC's legal name | Line 3a selectionLLC; enter P |
| Tax treatmentLLC taxed as S corporation | Name on Line 1LLC's legal name | Line 3a selectionLLC; enter S |
| Tax treatmentLLC taxed as C corporation | Name on Line 1LLC's legal name | Line 3a selectionLLC; enter C |
The first row covers a disregarded LLC owned by an individual. An entity-owned disregarded LLC follows its owner’s classification instead, so don’t automatically check Individual/sole proprietor. Your state registration won’t tell you whether a corporate tax election applies to you. Your IRS election records should support an S or C classification. The LLC exists because you completed constitución de empresas under state law; its federal tax treatment is a separate question that state documents don’t settle.
Generally, use your Social Security number (SSN) if you’re completing the form as an individual, unless an individual taxpayer identification number (ITIN) applies. A sole proprietor with an EIN can use either number. The name on Line 1 tells you whose tax ID belongs in Part I of your completed W-9 Form. For business entries:
El TIN instructions explain the required name-and-number combinations. Compare your entry with your Social Security record or IRS EIN records if you’re unsure. For IRS proof of an existing business EIN, Verificación del EIN through Letter 147C confirms the number already assigned. It doesn’t issue a new EIN or automatically fix a mismatch.
You don’t have to sign a W-9 Form for every transaction. Signing Part II confirms your tax ID, U.S. status, withholding status and applicable reporting exemptions on the form. The certification instructions explain when a correct tax ID is enough and when you must sign. If the IRS notified you of withholding for underreported interest or dividends, cross out item 2 before signing.
A handwritten signature isn’t always necessary. The requester may use a system that accepts electronic signatures, provided it meets the IRS electronic submission rules.
Return the W-9 Form to whoever requested your tax information after confirming that the request is legitimate. The IRS doesn’t receive this form from you. Your requester keeps the information for tax reporting.
If you don’t recognize the person or business requesting your SSN or EIN, ask why it needs the completed form and confirm the delivery address before you share your tax information. Use a secure delivery method the requester accepts. Electronic collection is allowed through qualifying systems; see the IRS requester instructions for requirements covering the submitted information and the sender’s identity.
Keep your copy with the delivery record so you can later check which information you provided. If you’re unsure the form arrived, confirm receipt. Report any changes to your name, tax ID or other required details.
The payer may ask you to correct your W-9 Form or withhold tax when required.
| Situación | Acción |
|---|---|
| Situación Typo before sending | Acción Check Line 1 and Part I, then correct the entry before returning the form. |
| Situación Wrong TIN noticed after sending | Acción Contact the payer with a corrected form. It needs the right information in its records. |
| Situación Payer sends a B-notice | Acción The first notice generally requires a signed form. For a second B-notice within three calendar years, follow its verification instructions, such as providing IRS Letter 147C for an EIN. |
| Situación Backup withholding begins | Acción Find out which requirement you haven't satisfied. Another form alone may not resolve it. |
A missing tax ID, name/number mismatch or incorrect certification can lead to 24% retención de respaldo, tax deducted from covered payments. A typo doesn’t automatically cause this. The IRS sends CP2100 or CP2100A to the payer when reported information doesn’t match its records. The payer checks its records before sending a required correction request under the B-notice rules.
No. Filling out a W-9 Form supplies taxpayer information; it doesn’t establish an income tax bill or guarantee a 1099. A business may collect the form before knowing whether its payments will require reporting. Qualifying 2026 nonemployee payments have a $2,000 1099-NEC reporting threshold. The comparable threshold before 2026 was $600. See the IRS reporting rules for the requirements. Later years may use inflation-adjusted thresholds.
Even below that threshold, income may be taxable. The amount you owe depends on your tax situation rather than whether a 1099 arrives. For nonemployee compensation, the payer must file Form 1099-NEC if it withheld federal income tax under the backup withholding rules, regardless of the payment amount. Independent contractors must determine how to report their earnings and what they owe in federal income and impuestos para trabajadores autónomos.
Your W-9 Form identifies the taxpayer receiving payments. Employee withholding and the payer’s reporting belong on different forms.

Receiving a tax form doesn’t establish whether you’re an employee or contractor. Review that question separately. For employers, servicios de nómina can include processing employee pay and withholding. Check whether your agreed scope also covers contractor information returns.
An uncertain LLC classification needs review before you return the W-9 Form. Don’t guess whether the owner or the LLC belongs on Line 1. Under the classification instructions, a disregarded LLC uses its owner’s tax classification; an LLC taxed as an S or C corporation uses its own.
Bring your EIN confirmation and tax election records if business documents don’t match federal records. With several entities or owners, confirm whose records you’re comparing. A payer asking repeatedly for corrected information is another reason to have someone review the name and classification.
You can decline but the requester may need your tax ID and certifications to report payments. Refusal can affect payment processing and the IRS backup withholding rules may require tax deductions from covered payments when you haven’t supplied a valid number.
A new calendar year doesn’t automatically invalidate the form. Update it when your name, tax ID or relevant tax status changes, and follow legitimate requests for updated information. The IRS requester instructions explain the information a payer needs for reporting.
Apply for the number and enter “Applied For” in the tax ID space, then sign and date the form. The TIN application rules allow a limited grace period for certain payments. Ordinary contractor payments don’t qualify for that protection just because your application is pending.
Use the IRS about-form page to open the published PDF and check its revision date. The current IRS revision is March 2024. A draft posted for review isn’t a required replacement for the published form; use the official version available there.
Your W-9 Form should agree with the taxpayer’s tax records.
If elections remain uncertain or mismatches keep recurring, ask your preparer to review business records when included in your preparación de declaraciones de impuestos compromiso.
